Board Resolution — Authorised Signatory (Certified True Copy)

Banks, the GST portal, government offices and counterparties ask for this before accepting a signature on behalf of a company. Pass the resolution at a duly convened board meeting (or by circulation where permitted), record it in the minutes, and issue this certified copy.

How to execute

Sign on your letterhead and send. No stamp paper needed.

Print on the company letterhead, sign by a director (with DIN) or the company secretary, and affix the company seal if one is used. Some banks have their own resolution format — check first. Borrowing, investing and lending powers have separate rules under the Companies Act; take advice before delegating them.

Click anywhere in the letter to edit it. Changes to the form keep flowing in.

This is a general template, not legal advice. Laws, stamp duty and procedures vary by state and change over time — have a qualified advocate review it for your facts before signing or sending.
